1.Acceptance & eligibility#
By creating a workspace or using Sali, you agree to these Terms on behalf of your agency or organisation, and confirm that you are at least 18 years old and authorised to bind that organisation. If you do not agree, do not use Sali.
2.Using Sali#
You may use Sali only for lawful event registration, check-in, and guest communication purposes on behalf of your agency and its clients.
3.Your workspace & account security#
Each agency workspace (e.g. acme.sali.com.ph) is provisioned to a single organisation. You are responsible for the accuracy of the data you enter, for keeping account credentials confidential, and for the actions of the users you invite (owners, admins, and event staff). Notify us promptly of any unauthorised access.
4.Acceptable use & guest consent#
You may not use Sali to send unsolicited or unlawful messages, upload malicious or infringing content, scrape the platform, or attempt to breach its security. Where you collect guest phone numbers or send SMS or email, you are responsible for obtaining any required consent and for honouring opt-out requests under Philippine law.
5.Fees, taxes & payment#
Fees are in Philippine Pesos (₱). Sali is currently operated by a non-VAT-registered sole proprietorship, so no VAT is charged; any applicable taxes will be stated on your invoice. Depending on your plan you may be charged a monthly or annual subscription, a per-event fee, and per-confirmed-guest fees — including higher overage rates for guests beyond your plan limit. Event invoices are issued at event close and subscription invoices each cycle. Unless stated otherwise, fees are non-refundable, and non-payment past the grace period may result in downgrade to the free Starter plan or suspension. We may change pricing on reasonable prior notice.
6.Guest data & data protection#
For guest information collected through your event pages, you act as the data controller and Sali acts as your data processor, processing that data only to provide check-in, communication, reporting, and billing features. You are responsible for having a lawful basis to collect guest data and to share it with Sali and with the client that commissioned the event. Our handling of personal data is described in our Privacy Policy.
7.Data Processing Agreement#
Where Sali processes personal data on your behalf, our Data Processing Agreement (DPA) at sali.com.ph/dpa governs that processing and is incorporated into these Terms by reference. If there is any conflict between the DPA and these Terms in respect of personal-data processing, the DPA prevails.
8.Intellectual property#
Sali and its underlying software, design, and trademarks are owned by Lloyd Rez Encallado, doing business as Lloyd Rez Encallado Software Publishing Services. You retain ownership of the content and data you upload, and grant us a limited licence to host and process it solely to provide the service.
9.Third-party services#
Sali relies on third-party providers to operate, including PayMongo for payment processing (we do not store your card details) and Movider for SMS delivery. Features that depend on these providers are also subject to their terms, and we are not responsible for their acts or outages.
10.Service availability#
We aim to keep Sali available but do not guarantee uninterrupted or error-free operation except where an Agency Pro service-level agreement applies. We may perform maintenance and will make reasonable efforts to limit disruption.
11.Disclaimer of warranties#
To the maximum extent permitted by law, Sali is provided “as is” and “as available”, without warranties of any kind, whether express or implied.
12.Limitation of liability#
To the maximum extent permitted by law, Sali and Lloyd Rez Encallado, doing business as Lloyd Rez Encallado Software Publishing Services will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.
13.Indemnification#
You agree to indemnify and hold Sali harmless from claims arising out of your event data, your guests’ personal data, your communications, or your breach of these Terms or applicable law.
14.Suspension & termination#
You may close your workspace at any time. We may suspend or terminate accounts that violate these Terms or Philippine data-privacy regulations. On termination you may request an export of your data; we will delete workspace data within 30 days, except records we must retain for legal or tax purposes.
15.Changes & governing law#
We may update these Terms and will post the revised version with a new “last updated” date; material changes will be communicated where reasonable. These Terms are governed by the laws of the Republic of the Philippines, and disputes are subject to the courts of Caloocan, Philippines.
